With Chase Pay, you can pay with your phone in thousands of stores, in reseller apps and online. You can even order food for the takeout and check your account balances. This unit trade agreement (`agreement`) is available to all users of the Mobile Square, Inc. (“Square”) application, card readers and payment service (the “Square Service”) for the acceptance of card payments in accordance with Visa, Inc. and MasterCard International, Inc. (together the “Brands Card”). As such, the seller who electronically signs or accepts the terms of this Agreement (“Seller” or “You”) enters into this agreement with JPMorgan Chase Bank, N.A. (the member) and Paymentech, LLC (“Paymentech”) to regulate the authorization, transmission and settlement of transactions using the Square Service. In concluding this agreement, the seller complies with the card brand rules that require a direct contractual relationship between the member and the seller, and the seller agrees to abide by the Brand Card rules, as they relate to the payments the seller receives through the Square Service.

Paymentech is a third party beneficiary of the seller contract (“seller contract”) and may enforce or terminate all provisions of card processing services under the seller contract (“seller contract”). In the case of recurring transactions, if applicable, authorized by the sales contract, the seller (i) must obtain the customer`s permission to regularly charge the customer a fee for the goods or services purchased; (ii) retain this licence for the duration of the recurring services and pass it on to Paymentech or the bank issuing the customer card upon request; and (iii) keep written documents indicating the frequency of the recurring fee and the length of time these taxes can be collected, as well as the amount or range of amounts that can be charged. The seller is not allowed to submit a recurring transaction after: (i) a customer cancellation notification (if that notification was provided on time for three (3) days or more before the transaction date); or (ii) Paymentech`s statement or a card mark (via the authorization code or otherwise) that the card should not be taken into account. The seller must include in his transaction data the electronic indicator that the transaction is a recurring transaction. The seller may not request or use card information for any purpose, unless it constitutes the payment of his goods or services or the refund of goods or services previously sold, unless this is required by the card brand rules. The seller accepts (i) that he does not use the card information for purposes that he knows or must know is fraudulent or that it is contrary to the rules of the card brand; (ii) it will not sell, purchase, provide or exchange card information in any way, nor will it disclose it to anyone other than Square, a card mark or in response to a government request; and (iii) it will comply with safety standards, including payment card industry safety standards (PCI DSS) and will participate, if necessary, in a mediated investigation. 6.4 Transaction data rights. Dealer financial information, transaction data and other information provided by Merchant Paymentech can be shared by Paymentech with its related companies. Paymentech will not disclose this information by any other means or use it for any purpose other than (i) necessary to process transactions or provide other services to Merchant and to manage the distributor`s account in accordance with this agreement (ii) in order to detect, prevent, reduce or remedy other fraud, security or engineering problems; (iii) to improve or improve Paymentech`s products and services in general; or (iv) as prescribed or authorized by other moye
